1. ACCEPTANCE


1.1 The terms and conditions contained herein (the “Conditions”) constitute a contract of use between you and ROADLOFT EQUIPMENTS INC. (“RoadLoft”) of the website owned by the latter and the service it offers, as described in section 2 below, (the “Site”). By using the Site, you agree that you have read and understood these terms, that you are at least sixteen (16) years old and that you agree to be bound by the Terms.


1.2 For the purposes hereof, the term “user” refers to any user of the Site who is at least sixteen (16) years old. If you decline the provisions of this Policy, please refrain from using the Site.


1.3 RoadLoft reserves the right to modify the Conditions at any time, without notice. The user should regularly consult this page in order to be aware of the most recent version of the Terms. The updated Conditions take effect when they are posted online by RoadLoft. If the user consults the Site after this date, this will constitute proof of his acceptance of the amended or revised Conditions. If the user finds the new Terms unacceptable, their sole remedy is to cease all use of the Site.

2. DESCRIPTION OF THE SERVICE


2.1 RoadLoft, through the Site, provides a sales service for multifunctional, scalable, compact and lightweight minivan conversion modules, including a selection of accessories and derivative products, in order to allow adventure travel in any spontaneity, freedom and comfort.


2.2 Any new functionality added to or supplementing the Service will be subject to these Terms.


3. GENERAL CONDITIONS AND USE OF THE SITE


3.1 RoadLoft authorizes you to access and use the Site for personal non-commercial purposes, in accordance with the Terms. The user is not authorized to: (i) grant any licenses or sub-licenses, sell, resell, rent or operate the Site or make it commercially available in any other way or make it available a third party in a manner other than those expressly authorized herein; (ii) use the Site for the purposes of processing data on behalf of a third party; (iii) use the Site illegally or in a manner that risks disrupting or altering its integrity or effectiveness and those of its components. The Site may only be used for exclusively legal purposes.

3.2 The user must refrain from modifying, altering, adapting, hacking the Site and obtaining unauthorized access to sections to which RoadLoft prohibits public access, to systems or networks used by RoadLoft. In addition, the user will not take any action likely to disrupt or alter the operation of the Site or the networks and servers linked to the Site.


3.3 The user assumes full responsibility for the information, data, texts, messages and other content posted or transmitted as part of his use of the Site. Maintaining the confidentiality of login data and the user’s account ID, if applicable, is the sole responsibility of the user, as is any activity carried out under their username or in its account.


3.4 RoadLoft reserves the right to access all user accounts, as applicable, in order to respond to requests for technical assistance that may be addressed to it. RoadLoft is committed to maintaining adequate administrative, physical and technical safeguards in place to protect the security, confidentiality, accessibility and integrity of user data. RoadLoft undertakes not to disclose user data, unless required by law or the user expressly authorizes it in writing. 3.5 Data transacted on the Site are encrypted via SSL protocol. RoadLoft restricts access to this data only to its employees and to employees of the storage and hosting service provider to whom access is necessary in order to operate the Site. RoadLoft will use all reasonable efforts to advertise planned service interruptions on its Site.

3.7 The user recognizes and understands that despite the security measures used and implemented by RoadLoft, communications with RoadLoft personnel may be intercepted. Due to the risks identified below relating to electronic communications, RoadLoft cannot guarantee their security and confidentiality:  3.7.1 The use of electronic communications to disclose sensitive information may increase the risk that such information will be disclosed to third parties;


   3.7.2 Despite reasonable efforts to protect personal information and ensure the security of electronic communications, it is not possible to completely secure such information;


  3.7.3 RoadLoft or any authority may have a legally recognized right to inspect and retain electronic communications received and transmitted through their system;

  3.7.4 Electronic communications may be rerouted, intercepted, broadcast, stored or even modified without RoadLoft or the user knowing or authorizing it;


  3.7.5 Even though the sender and recipient have deleted the e-mail messages, there may be backup copies on a computer system;


  3.7.6 Emails can be easily redirected, which increases the risk of unintentionally being sent to an unknown recipient;


  3.7.7 It is not possible to verify the identity of the sender or to ensure that only the recipient will be able to read the email once it is sent.


3.8 Failure or non-enforcement by RoadLoft of any right or provision hereof does not constitute a waiver of that right or provision. The user acknowledges that these Conditions constitute a contract concluded with RoadLoft, that they govern the use of the Site and that they replace any contract, convention, understanding or previous agreement concluded with RoadLoft.


4. USER COLLABORATION


The user agrees to immediately inform RoadLoft of any unauthorized use of the Site or any breach of security of which he is aware. At the request of RoadLoft, it is also advisable to collaborate in order to enable it to stop, prevent and resolve any problem relating to security or any unauthorized use of the Site.

 

5. USER PROFILE


 In the event that a personal account is created by the user, as the case may be, the user who creates his account agrees: i) to provide in any registration form truthful, accurate, up-to-date and complete information, and ii) to maintain and update information without delay to keep it true, accurate, current and complete. RoadLoft reserves the right to suspend or terminate access to all or part of the Site if it has reasonable grounds to believe that such information is false, inaccurate, out of date or incomplete. 6. INTELLECTUAL PROPERTY


6.1 All rights, titles and interests relating to the Site and its components, including in particular all intellectual property rights, belong and will continue to belong exclusively to RoadLoft, subject only to the right of access and use expressly granted. hereunder in favor of the user.


6.2 The “RoadLoft ™” trademark and the RoadLoft logos which are used or represented on the Site are trademarks of which RoadLoft is the sole owner.


6.3 The content of the Site is protected by the Copyright Act (Canada), RSC 1985, c. C-42 and is owned by RoadLoft, the beneficial owners who have licensed to RoadLoft, or the party accredited as the content provider, as the case may be. Except as granted in the limited license contained herein, any use of the content, including modification, transmission, presentation, distribution, re-publication or any other use of the Site or its content, in whole or in part, is prohibited without the express prior consent of RoadLoft.


6.4 Subject to the Conditions, a restricted, non-transferable and non-exclusive license is granted to the user allowing him to access the Site and use its content for personal and non-commercial purposes. The user is permitted to download, retain and / or print a single copy of the content for their personal, non-commercial use, provided that all copyright and other notices appearing in such content are preserved. 7.3 RoadLoft is not linked to any third party website which contains, displays or transmits any illegal or indecent information of any kind, including, but not limited to, the generality of the foregoing: i) any content depicting or encouraging conduct which would constitute a criminal offense, which would give rise to civil liability or which would otherwise violate any provision of any law or regulation which could be damaging or prejudicial to the activities, operations, credibility or integrity of RoadLoft, or ii) any website containing, displaying or transmitting any material or information of any kind that violates or infringes the rights of others, including material constituting an invasion of privacy or publicity rights , or which are protected by copyright, trademarks or other exclusive rights.


7.4 RoadLoft reserves the right to prohibit or refuse to accept, at any time, any link to the Site, in particular, any link which contains any content or information of the aforementioned nature or which allows access to it. The user who inserts a link to the Site on a third party website in contravention of the Conditions must immediately withdraw the link to the Site, on simple notice to this effect by RoadLoft, which reserves the right to claim any damages. and to initiate legal proceedings to this effect or of an injunctive nature deemed necessary.


8. ONLINE STORE


8.1 The user agrees to comply at all times with the terms, conditions and conditions of payment relating to the online store of the Site. 8.2 RoadLoft does not store any user banking data on its servers.

8.4 RoadLoft has made every effort to ensure that the descriptive images of the products sold through the Site faithfully reflect the textures, colors and design of the products. 8.8 The user is solely responsible for verifying beforehand that the product sold by RoadLoft on the Site is authorized and complies with the laws applicable in the territory for which the user intends to use it. 9. CANCELLATION AND TERMINATION


9.1 If the user agrees to receive information from RoadLoft, he may at any time request that he no longer receive it. The user can send a written notice to this effect to RoadLoft at the following address:

The user understands, however, that it is not always possible to completely remove or modify the information in the databases and servers of RoadLoft or in the registers of any third party having received information in accordance with the provisions of the Policy. confidentiality and protection of personal information.


9.2 RoadLoft reserves the right: i) to modify or interrupt access to the Site (in whole or in part) temporarily or permanently, ii) to prohibit current or future use of the Site or to close the User account (in whole or in part), if applicable, and to remove or delete archived content for any reason in accordance with the law, including if RoadLoft believes that the user is or has acted in contravention of these Conditions.

10. DISCLAIMER OF WARRANTIES

11. LIMITATION OF LIABILITY


11.1 RoadLoft, its members of management, directors, employees, agents, licensors and their respective successors and assigns shall in no case be liable for damages of any kind whatsoever, in particular, any loss or damage resulting in material damage, bodily injury, inaccurate information, or any other damage suffered in connection with the use of the Site, whether such use complies with the Conditions or not, regardless of the cause of the damage.


11.2 RoadLoft also disclaims all liability for the acts, omissions and conduct of any user of the Site, or any advertising appearing on the Site.


11.3 Applicable law may not allow the exclusion of certain warranties or limitations of liability, depending on the circumstances. In these specific situations, RoadLoft limits the scope of its liability to the fullest extent provided for by applicable law.


12. INDEMNIFICATION


User agrees to indemnify, defend and hold RoadLoft and its officers, directors, employees, agents, licensors and their respective successors and assigns harmless against any and all claims, demands or costs of whatever nature it is, including, in particular, legal costs and disbursements resulting directly or indirectly from the use of the Site, from a failure of the user to respect the Conditions, from the confidence attributed by a user to any piece of information contained on the Site, the user’s inability to access the Site or its content, including any website that is linked to it or that may be linked from time to time.

13. FORCE MAJEURE


RoadLoft declines all responsibility for any failure or delay in service caused by an act of war, hostility or computer sabotage, by a natural disaster, by a failure of the electricity distribution network, the Internet network or the system, telecommunications or any other event beyond the control of RoadLoft. RoadLoft will use all reasonable efforts necessary to mitigate the consequences of a force majeure event.

14. ASSIGNMENT AND SUBCONTRACTING


RoadLoft reserves the right to assign or transfer all of its rights, title and interests in these Terms, in whole or in part, without any restriction. Hereunder, RoadLoft is also authorized to assign its rights and obligations, in whole or in part, to subcontractors at any time, without restriction or obligation to obtain any prior consent whatsoever.

 

15. PUBLICATION OF CONTENT BY THE USER


15.1 The Site may offer features that allow the User to post messages and content in designated sections, participate in discussion groups, interact with RoadLoft and other users, and upload files. , documents and other material (the “Publications”). RoadLoft does not control the content of any of the Posts and has no obligation to monitor them. In addition to the above-mentioned license grant, the user hereby waives all moral rights relating to his Post in favor of RoadLoft, that his name, or email address identifies him as being whoever provided the Post, if any, and consents to the disclosure and posting of such information and any other information that appears in or associated with his Post. The user acknowledges and accepts that RoadLoft disclaims all liability in connection with a User Post.

15.3 The user who uses functions of the Site that allow the posting or making of Publications does so at his own risk. In addition, this use must not:


15.3.1 restrict or interfere with the use and enjoyment of the Site by any other user or interfere or attempt to interfere with the proper functioning of the Site or do anything which, in RoadLoft’s sole discretion, imposes an unreasonable burden or disproportionate to the infrastructure of the Site;

16. APPLICABLE LAW


16.1 These Conditions and the relationship between the user and RoadLoft under these Conditions are governed and interpreted under the law in force in the province of Quebec (Canada) without regard to conflict of law provisions. The user hereby expressly agrees to rely on the exclusive jurisdiction of the courts of the province of Quebec (judicial district of Quebec) for the purpose of resolving disputes relating to the Conditions. Notwithstanding the foregoing, the user agrees that RoadLoft remains authorized to seek injunction proceedings (or any other equivalent emergency measure) from any competent authority.


16.2 If a court having full jurisdiction to hear the matter finds any provision hereof to be invalid, that provision will be removed from the Terms without any other provision being changed. All other provisions hereof will continue to have full effect.


17. VERSIONS


The Terms and any document incorporated herein by reference constitute the entire agreement between the user and RoadLoft. In the event of any discrepancy between the English and French versions of these Conditions, the French version will prevail.
